Volunteer Opportunity: Director, Clean Board of Directors (multiple positions available)

Position Summary
Come take on climate change challenges with us. Clean Foundation’s Board of Directors is currently seeking members of the community, with a passion for a cleaner future, to fulfil upcoming Director vacancies. Our ideal applicants have prior Board/public sector experience with demonstrated leadership capabilities in a variety of disciplines with specific competencies in governance; risk management; human resources; information technology; legal services and government relations. Individuals with experience or knowledge relating to the clean economy; sustainable development; greenhouse gas reduction, including energy efficiency and clean transportation would certainly be an asset. Individuals who can bring a diverse perspective and background to the organization are encouraged to express interest in the opportunity.

As a member of the Board of Directors of Clean you will be keen to engage in both Board and organizational activities to help further Clean’s impact in the communities in which we work.
You will also:
- Provide input and oversight of the organization’s future strategic direction;
- Consider any strategic risks facing the organization and provide input on mitigation strategies;
- Provide input into the performance objectives and assessment of the President & CEO;
- Demonstrate and maintain independence from management by bringing an objective perspective to the deliberations of the Board and its Committees;
- Monitor and assess the effectiveness of the Board and its Chair to ensure high performance is sustained;
- Demonstrate a commitment to ongoing development as a Director to strengthen individual knowledge in corporate governance and about the organization.
Directors are accountable to Clean Foundation’s Members, funders and other key stakeholders and are expected to:
- Act reasonably and in good faith to further the long-term objectives of the organization;
- Work collegially as part of a team, respecting the views of others on the Board;
- Participate fully and openly in the deliberations of the Board by asking questions relevant to the Board’s strategic mandate and supporting Board decisions once made;
- Prepare in advance for each Board and Committee meeting by reading advance materials circulated prior to meetings;
- Maintain a regular Board and Committee meeting attendance record; and
- Serve on at least one Board Committee throughout their tenure.
Director elections occur at the organization’s Annual General Meeting in June of each year. Terms for Directors are two years in length and renewals can occur twice for a maximum service on the Board of six years. The Board meets at least five times per year in addition to having an annual Board retreat/strategic session and an Annual General Meeting. There are two standing Committees of the Board which meet quarterly, in addition to an Executive Committee. Ad hoc Committees are formed as required.
